Terms and Regulations

* Defined Terms

The term "Event" means Vancouver Halloween Parade & Expo. 
The term "Event Date" means October 15, 2016 and October 16, 2016. 
The term "Organizer" means International Health Council who owns, produces and manages the event.
The term "Exhibit Facilities" means venue owner of the event location.
The term "Exhibitor" means, collectively (i) the company, any other business entity, or person that applied for exhibit space rental and agreed to enter into this contract upon acceptance by
Organizer in the manner stated below and (ii) each of its officers, directors, shareholders, employees, contractors, agents, representatives, and/or invitees, as applicable.


* Payment and Cancellation

Due to the difficulty in re-selling space made available from cancellations, Exhibitors who cancel exhibit space will not receive refund, but we can apply it as credit for the next year event. Organizer reserves the right to resell or otherwise reassign cancelled exhibit space.

If Exhibitor fails to make a full payment required by this contract in a timely manner, the Organizer may terminate this contract immediately without further notice and without obligation to refund. The Organizer reserves the right at its discretion to refuse Exhibitor permission to move in and set up an exhibit. 

* Prohibited Goods

All forms of goods listed below are restricted from sale or display at the event. Any Exhibitor found selling items of this kind will be asked to remove them immediately. Failure to comply will result in forfeiture of the Exhibitor's space without refund and potentially banned from future events.
- Blood or hateful costumes
- Adult materials
- Bootleg, Counterfeit and pirated goods
- Animals
- Tobaccos
- Liquors
- Copyrighted material unless the Exhibitor has obtained all necessary rights and paid all required royalties, fees or other payments.
- Food or drink except candy and chocolate.
- Gambling, includes but not limited to wheels of fortune, card picks, raffles, grab bags or computer simulated gambling.

* Weapon Policy
For public safety concerns, sword, knife and dagger cannot be given to the customer, but you can display them, ship it to the customer's address after the customer order it at your booth. Therefore, please only bring the samples for display purpose. The other non-sharp weapon is allowed to be given to the customer onsite.

* Interference

Sound volume must be controlled. The Organizer reserves the right to determine at what point sound constitutes interference with others and must be discontinued. Exhibitor must not interfere the other Exhibitor's space or traffic in the aisle. The Organizer reserves the right to determine the interference and discontinue the Exhibitor's activity.

* Signs

Signs can be hung from the ceiling. All signs greater than 8 ft high must be approved by the Organizer prior to installation. The use of ceiling is subject to the availability of the Exhibit Facilities.

* Promotion & Photography

The Exhibitor grant full permission to any and all the foregoing to use any photography, video tapes, motion pictures, recordings or any other record of this event for promotional purposes without compensation. If you choose not to participate, please notify the Organizer to get on "Do Not Photograph" list prior to the event date.

* Exhibit Facility

Exhibitor shall pay for any and all damages to the Exhibit Facility or associated facilities, booth equipment or the property of others caused by Exhibitor. The Organizer and Exhibit Facility reserve the right to modify floor plan.

* Set Up Load in/Load out

Exhibitors will each be assigned a loading time block and a specific loading zone for their load in. The Organizer shall not be liable for any loss or damage to the Exhibitor's property, or for any personal injury
suffered by the Exhibitor or any of its agents and employees. 

Exhibitors should bring their own hand-carts or dollies. Any garbage produced by the Vendor should be placed in the appropriate containers or taken with the Vendor off site.

Contracted Exhibitor spaces that are not fully setup before the Event opens may be released with no further obligations by the Organizer without refund.


* Indemnification

The Exhibitor and the Organizer hereby agree to indemnify, defend and hold the other harmless from any loss, liability, costs or damages arising from actual or threatened claims or causes of action resulting from the negligence, gross negligence or intentional misconduct of the party indemnifying or its respective officers, directors, employees, agents, contractors, members, participants or attendees (as applicable), provided that with respect to officers, directors, employees, and agents, such individuals are acting within the scope of their employment or agency, as applicable.

* Limits of liability

Under no circumstances shall Organizer or the Exhibit Facility be liable for any lost profits or any incidental, special, indirect, punitive or consequential damages whatsoever for any of the acts omissions whether or not apprised of the possibility of any such lost profits or damages. In no event shall Organizers maximum liability under any circumstance exceed the amount actually paid to Organizer by Artist for exhibit space rental pursuant to this contract. Organizer makes no representations or warranties, express or implied, regarding the number of persons who will attend the Event or regarding any other matters.

* Insurance

It is the Exhibitor's sole responsibility to secure insurance. The Exhibitor is solely responsible for its exhibited materials, merchandise, promotions, personnel, and other property. The organizer, and by extension the organizations that run it and the organizer's personnel, are NOT responsible for the protection of Exhibitor property from damage, loss, theft, harm, or injury.
